23. Governing Law; Arbitration; Class Action Waiver
This Agreement shall be governed by the internal substantive laws of the State of Massachusetts, without respect to its conflict of laws principles.
Any controversy, claim or dispute arising out of or relating to the use of this Site and/or this Agreement, excluding legal action taken by us to obtain any injunction or other equitable remedy relating to intellectual property ownership or infringement, including any determination of the scope or applicability of this agreement to arbitrate, shall be resolved exclusively by arbitration in accordance with the Federal Arbitration Act. Such arbitration shall be administered by the American Arbitration Association (“AAA”) or the Judicial Arbitration and Mediation Service (“JAMS”), or, in the event of those services’ unavailability, an arbitration service with substantially similar rules, administered pursuant to the rules of the selected arbitration service, with a single arbitrator selected to preside by the arbitration service. To the extent permitted by law, each party shall bear one-half of the arbitration service’s fees and costs, and each party shall bear its own attorneys’ fees. Any award rendered by the arbitrator shall be final and binding, but subject to review in accordance with applicable statutes governing arbitration awards. Judgment on the award made by the arbitrator may be entered in any court having jurisdiction. If a party to such an arbitration fails to comply with the arbitrator’s award, the injured party may petition the applicable court for enforcement. In the event any party brings suit against the other party in federal, state or local court instead of proceeding with arbitration, or unsuccessfully challenges the arbitrator’s award, or fails to comply with the arbitrator’s award, the other party is entitled to costs of suit, including reasonable attorneys’ and paralegals’ fees and costs for having to compel arbitration or defend or enforce the award. Binding arbitration means that you give up the right to a trial by jury and their rights to have a dispute resolved in a court of law.
